What Welile Angel Pool Participants Receive
This page is deliberately plain. Participation in the Angel Pool comes with real limits, and they are stated in Welile's own agreement rather than inferred here.
What you hold
A proportional share of the Early Angel Pool, which represents up to 8% of the ownership of Welile Technologies (U) Ltd. Your share is worked out from your contribution against the whole pool.
Your records show your share of the pool and the corresponding share of company ownership.
What the agreement says you do not get
Quoted from the Early Angel Pool Shareholders Agreement:
- Non-voting equity. You do not vote.
- No board representation. You do not have a seat.
- No management control. The company retains full decision-making authority.
- No governance rights.
The agreement describes it as a passive investment structure. That is the accurate summary.
Dividends
The Company is in a reinvestment phase. No dividends are expected for a minimum of four (4) years.
So: no income from this while the company reinvests, and no date on which that changes. Four years is stated as a minimum, not a schedule.
Risk
This is a high-risk, long-term investment with no guaranteed returns.
That is the agreement's own risk disclosure, and it is the most important sentence in it. The value of what you hold can fall as well as rise, and there is no promise that you will get your contribution back.
What is not settled
Several things a participant would reasonably want to know are not documented and should not be assumed:
- Whether you can sell or transfer your participation, and to whom.
- Whether there is any way to exit before a company event, and on what terms.
- What evidence of ownership you receive, and in what form.
- What happens if participation is converted into Welile Technologies Inc, as the agreement says it may be.
Ask Welile these in writing before contributing. If an answer is not in writing, treat it as unanswered.
Before you contribute
Take the agreement to somebody independent if the amount matters to you. This is an ownership arrangement in a private company with no dividends expected for years, no governance rights, and no stated exit — those are exactly the conditions where independent advice earns its cost.
