What Is the Welile Angel Pool?

The Early Angel Pool is a pool of early contributions to Welile Technologies (U) Ltd, representing a portion of the company's ownership.

You contribute to the pool. Your share of the pool is worked out in proportion to what you contributed, relative to everyone else in it.

The structure​

From the Early Angel Pool Shareholders Agreement:

  • The pool is capped at UGX 500,000,000, representing up to 8% of total company ownership. That is an increase from an earlier cap of UGX 300,000,000.
  • Participation is allocated proportionally based on contributions.
  • Participants do not hold direct shares. They are part of the pooled structure.
  • The agreement replaces all prior agreements with early contributors, and past contributions are consolidated into this pool.

What "shares" means here​

The app expresses participation in units priced in shillings, so you will see a number of shares and a price per share — see share price.

Treat those units as your measure of the pool, not as company shares held in your own name. The agreement is explicit that participation is pooled rather than direct.

This distinction is worth asking about

The wording in the app and the wording in the agreement are not identical: one speaks of shares, the other of a pooled structure with no direct shareholding.

If the difference matters to you — and for a legal ownership question it reasonably might — ask Welile to explain in writing exactly what you would hold before you contribute.

What it connects to​

Participation is in Welile Technologies (U) Ltd. The agreement notes that participation may be converted into Welile Technologies Inc as part of a future global restructuring.

That is a stated possibility, not a commitment, and no timing is given.

Who runs it​

The company. The agreement states that Welile retains full decision-making authority and that participants have no governance rights.

What it is not​

  • Not tenant support. No monthly return and no term. See the difference.
  • Not a savings product. There is no balance you can draw on.
  • Not risk-free. The agreement calls it a high-risk, long-term investment with no guaranteed returns.
